Public Offer Agreement
This document is an official public offer issued by Lwin.pro (hereinafter referred to as the “Company”) to any individual or legal entity (hereinafter referred to as the “Client”) to enter into a service agreement (the “Agreement”) under the terms set forth below. This Offer is made in accordance with Article 318 of the Civil Code of Georgia and shall have full legal effect upon its acceptance.
1. General Provisions
1.1. This Public Offer (the “Offer”) outlines the terms and conditions under which the Company provides services, as listed on the official website https://lwin.pro (the “Website").
1.2. This Offer shall be deemed accepted, and a binding Agreement concluded, at the moment the Client makes a full or partial payment for the Company’s services, or otherwise explicitly consents to these terms. No separate written agreement or signature shall be required. Payment by the Client constitutes full legal acceptance of this Offer and confirms agreement to all terms outlined herein.
1.3. The relationship between the Company and the Client shall be governed by this Offer, the applicable legislation of Georgia, and any additional agreements explicitly confirmed by both parties in writing (if applicable).
2. Scope of Services
2.1. The Company provides, including but not limited to, the following services:

2.1.2. Product positioning analysis
2.1.3. Content strategy and marketing
2.1.4. Business consulting and performance reviews
2.2. Specific deliverables, costs, and timelines are listed on the Website or may be individually agreed upon in writing through electronic communication between the parties.
2.3. The Company reserves the right to update the list or scope of services by publishing changes on the Website.
3. Rights and Obligations
3.1. Company Obligations:
3.1.1. To provide services professionally and in accordance with the terms of this Offer
3.1.2. To maintain the confidentiality of any Client information received
3.1.3. To respond to inquiries related to the execution of the services
3.2. Client Obligations:
3.2.1. To provide accurate and complete information required to deliver the services
3.2.2. To make timely payments as agreed
3.2.3. To comply with the terms of this Offer
3.3. Company Rights:
3.3.1. To suspend or refuse services in case of non-payment or breach of obligations by the Client
3.3.2. To decline services in cases of false or misleading information provided by the Client
3.4. Client Rights:
3.4.1. To receive services in accordance with the agreed scope and terms
3.4.2. To request updates and clarification regarding the service process
4. Payment Terms
4.1. The cost of services is stated on the Website and/or provided through a personalized quote to the Client.
4.2. Unless otherwise agreed in writing, payment must be made in advance.
4.3. Payment by the Client confirms full and unconditional acceptance of this Offer.
5. Confidentiality
5.1. The Company undertakes to maintain confidentiality of all Client information, except where disclosure is required by law.
5.2. Information may only be disclosed to third parties with the Client’s written consent, unless otherwise required by applicable legislation.
6. Liability
6.1. The Company shall not be liable for:
6.1.1. Any consequences arising from insufficient or inaccurate data provided by the Client
6.1.2. The Client’s refusal to implement or follow recommended strategies
6.1.3. Any disruption caused by third parties beyond the control of the Company
6.2. The Client shall be liable for any misrepresentation of information or breach of this Offer.
7. Dispute Resolution
7.1. The Parties agree to resolve any dispute arising out of or in connection with this Offer through negotiations.
7.2. If the dispute cannot be resolved amicably, it shall be submitted to the courts of Georgia in accordance with Georgian law.
8. Validity and Amendments
8.1. This Offer becomes effective upon its publication on the Website and remains valid until revoked or updated by the Company.
8.2. The Company may amend the Offer at any time. Updated terms become effective upon publication on the Website.
